Please read these terms carefully before using Sockeye FS.

These Terms and Conditions ("Terms") govern your use of the Sockeye FS mobile application and related services ("Service") operated by nventiv LLC ("we," "us," or "our"). By using Sockeye FS, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years old to use Sockeye FS.

2. No Account Required

  • Sockeye FS does not require you to create an account, sign up, or provide a phone number or email address to use the Service.
  • Your photos, voice notes, projects, and app settings are stored locally on your device.
  • You can delete your data at any time from within the app, or remove all of it by uninstalling the app.
  • Because there is no account, there is no login, password, or credential to keep confidential — you are responsible for the physical security of your own device.

3. The Service

Photo Capture & Auto-Filing

Sockeye FS uses your device's location to automatically match captured photos to projects you've defined. Location matching is provided on a best-effort basis and depends on your device's GPS accuracy and signal.

AI-Generated Descriptions, Tags & Transcripts

Photo descriptions and tags, and voice-note transcripts, are generated by third-party AI services (see Section 6). These are provided on a best-effort basis, may not always be accurate, and should not be relied upon as an authoritative or certified record for legal, insurance, or regulatory purposes without independent verification.

Backup Export

The Service includes an optional feature to export your project data as a file for you to save or share yourself. You are solely responsible for storing, securing, and retaining any backup you create — we do not receive, store, or have access to it.

4. Prohibited Conduct

You agree not to:

  • Use Sockeye FS for any unlawful purpose
  • Capture or import photos of another person's property or job site without appropriate authorization
  • Attempt to reverse engineer, decompile, or disassemble the app
  • Use automated tools to interact with the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any part of the Service, including our proxy server
  • Use the Service to transmit spam, malware, or other harmful content

5. Intellectual Property

The Sockeye FS name, logo, app design, and all related intellectual property are owned by nventiv LLC and protected by applicable intellectual property laws. You may not use our trademarks without prior written permission.

You retain ownership of your photos, voice notes, and other content. By using the Service, you grant Sockeye FS a limited license to process that content as described in our Privacy Policy — solely to provide the app's features to you.

6. Third-Party Services

Sockeye FS integrates with third-party services including Anthropic's Claude API (photo tagging), OpenAI's transcription API (voice notes), Google Maps Platform (project location), and Cloudflare (server infrastructure). Your use of the Service is subject to these providers processing the specific content described in our Privacy Policy. We are not responsible for the practices of third-party services beyond our use of them as described there.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted or error-free, or that location matching, AI-generated tags/descriptions, or voice transcriptions will be accurate in all cases.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCKEYE FS AND NVENTIV LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PHOTOS, VOICE NOTES, OR PROJECT DATA.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed $100.

Because your data is stored locally on your device, you are responsible for maintaining your own backups (using the in-app Backup export or your device's own backup systems). We are not responsible for data loss resulting from device loss, damage, factory reset, or app uninstallation.

9. Indemnification

You agree to indemnify and hold harmless Sockeye FS and nventiv LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

  • You may stop using Sockeye FS at any time and delete your data from within the app, or by uninstalling it.
  • We may restrict or discontinue your access to the Service if you violate these Terms.
  • Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitations of liability.

11. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Williamson County, Tennessee.

12. Dispute Resolution

Before filing a formal legal claim, you agree to contact us at legal@sockeyefs.app to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal legal action.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the app at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
